Terms of Use

1. Definitions
- "License" - These terms and conditions.
- "Licensor" - Incredevo, the copyright owner of CloudCost.
- "CloudCost" - The cloud cost optimization platform developed by Incredevo, including software, models, algorithms, documentation, and related intellectual property.
- "Derivative Works" - Modifications, extensions, or adaptations of CloudCost, excluding external works that merely interface with it.
2. Grant of Copyright License
Subject to this License and pre-payment of applicable license fees, Incredevo grants you a limited, non-exclusive, non-transferable, revocable license to use CloudCost, provided you comply with the conditions below.
This license is not royalty-free. Continued use of CloudCost requires a valid, active pre-paid license from Incredevo.
3. Restrictions
You may not:
- Copy, modify, create derivative works of, sublicense, distribute, or resell CloudCost.
- Reverse engineer, decompile, disassemble, or attempt to extract source code, models, or algorithms.
- Circumvent license controls, technical restrictions, or security mechanisms.
- Use CloudCost in violation of applicable laws, regulations, or third-party rights.
4. Use of AI-Generated Outputs
CloudCost includes AI-driven functionalities designed to analyze cloud costs and provide optimization recommendations. Users acknowledge that:
- AI outputs are probabilistic and may not always be accurate.
- Users retain full responsibility for infrastructure decisions based on outputs.
- CloudCost is a support tool, not a substitute for human judgment.
- Cost savings estimates are projections and actual results may vary.
- Any infrastructure changes made based on recommendations are the sole responsibility of the user.
5. Cloud Account Access
CloudCost requires read-only access to cloud account billing and resource metadata. Users acknowledge that:
- Access credentials are encrypted and stored securely.
- CloudCost does not modify, delete, or create cloud resources.
- Users are responsible for managing access permissions in their cloud provider.
- Users may revoke access at any time through their cloud provider's console.
6. Confidentiality
Users agree to maintain the confidentiality of CloudCost's proprietary models, algorithms, code, and documentation.
No part of CloudCost may be disclosed to third parties without Incredevo's written consent.
7. Trademarks
This License does not grant permission to use the trademarks, logos, or branding of CloudCost or Incredevo, except with explicit written consent from Incredevo.
8. Disclaimer of Warranty
CloudCost is provided on an "AS IS" basis. Incredevo and contributors disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
In no event shall Incredevo or its contributors be liable for damages arising out of the use or inability to use CloudCost, including but not limited to lost revenue, cloud cost overruns, business interruption, or infrastructure downtime.
10. Indemnification
You agree to indemnify, defend, and hold harmless Incredevo, its officers, employees, and contributors from any claims, damages, liabilities, or expenses arising from:
- Your misuse of CloudCost.
- Your reliance on AI-generated cost recommendations.
- Any violation of this License or applicable law.
11. Termination
This License automatically terminates if:
- You fail to pay required license fees before or during the license term.
- You breach any term of this License, including restrictions on use.
Upon termination, you must immediately cease using CloudCost and revoke all granted cloud access.
12. License Fees and Payment
- Use of CloudCost requires the purchase of a pre-paid license from Incredevo.
- License fees must be paid in full before the start of the license term.
- The duration and scope of usage rights correspond to the conditions specified at the time of pre-payment.
- Licenses are time-bound (subscription-based) unless otherwise agreed in writing.
- Failure to pre-pay renewal fees before the expiration date will result in automatic termination of this License.
13. Governing Law & Jurisdiction
This License shall be governed by and construed under the laws of Poland. Any disputes shall be resolved exclusively in the courts of Warsaw.
14. Acceptance of Liability or Support
Any warranties, support contracts, or service-level guarantees beyond this License must be provided in a separate written agreement with Incredevo.
